This RadioSlot.com Terms of Use Agreement (this "Agreement") is a legal agreement between you and RadioSlot.com ("RadioSlot", "we", "us" or "our") providing, among other things, the terms and conditions for your use of RadioSlot's streaming music services (collectively, the "RadioSlot Services"), including but not limited to delivery via our Web site [http://www.RadioSlot.com] (the "Site"), a mobile device, or otherwise.
We may from time to time modify these terms of use and will post a copy of the amended Agreement at http://www.RadioSlot.com/. If you do not agree to, or cannot comply with, the Agreement as amended, you must stop using the RadioSlot Services (as defined below) or, if applicable, cancel your RadioSlot Services subscription. You will be deemed to have accepted the Agreement as amended if you continue to use any of the RadioSlot Services after any amendments are posted on the Site.
PARENTAL ADVISORY. IF YOU ARE A USER BETWEEN THE AGES OF 13 AND 17, PLEASE REVIEW THESE TERMS OF USE WITH YOUR PARENTS. THE RadioSlot.com SERVICES ARE NOT DESIGNED TO ATTRACT CHILDREN UNDER THE AGE OF 13 AND WE DO NOT INTENTIONALLY COLLECT PERSONAL INFORMATION FROM CHILDREN ON OUR SITE. BECAUSE THE RadioSlot.com SERVICES MAY PROVIDE ACCESS TO MUSIC THAT CONTAINS EXPLICIT CONTENT INCLUDING STRONG LANGUAGE OR DEPICTIONS OF VIOLENCE, SEX OR SUBSTANCE ABUSE, PARENTAL DISCRETION IS ADVISED FOR ALL USERS AGES 13 TO 17.
THIS AGREEMENT CONTAINS WARRANTY AND LIABILITY DISCLAIMERS. BY USING OR SUBSCRIBING TO THE RadioSlot SERVICES. YOU ACCEPT AND AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. IN ORDER FOR YOU TO HAVE ACCESS TO THE RadioSlot SERVICES, THIS AGREEMENT MUST BE ACCEPTED BY YOU WITHOUT ANY MODIFICATIONS, ADDITIONS, OR DELETIONS. IF YOU DO NOT AGREE TO THE TERMS OF USE CONTAINED IN THIS AGREEMENT, YOU ARE NOT AUTHORIZED TO USE THE RadioSlot SERVICES. YOU MAY BE DENIED ACCESS TO THE RadioSlot SERVICES, WITH OR WITHOUT PRIOR NOTICE TO YOU, FOR NONCOMPLIANCE WITH ANY PROVISION OF THIS AGREEMENT.
1. AUTHORIZED USERS
1.1 U.S. Residents; Age Requirement; Authority. In order to use any of the RadioSlot Services, you must be a resident of the United States of America and at least 13 years of age. You represent that (i) you have read and understood, and that you agree to be bound by, this Agreement and (ii) you are at least 13 years old. If you do not agree to, or cannot comply with, any of these terms and conditions of this Agreement, please do not check the acceptance box and do not attempt to access any of the RadioSlot Services.
1.2 Registration. To use any aspect of the Pandora Services, you may be required to register and provide certain information, including a member or user name, a password and a valid email address (the "Account Information"). You agree to provide accurate Account Information and to update your Account Information as necessary to keep it accurate. Pandora will use your Account Information in accordance with its privacy policy [www.RadioSlot.com/tos.html]. By providing RadioSlot your email address, you consent to our using the email address to send you Service-related notices, including among other things notices required by law, in lieu of postal mail. You may not opt out of Service-related e-mails. We may also use your email address, or for subscribers to mobile Services, your mobile telephone number, to send you other messages, including information about RadioSlot and special offers. You may opt out of such email by changing your account settings or sending an email to RadioSlot.com. You may opt out of mobile text messages by sending an email to support@RadioSlot.com. You may also opt out of mobile text messages and/or non-Service-related emails by sending mail to the following postal address:

Opting out may prevent you from receiving messages regarding RadioSlot or special offers.
1.3 Account Confidentiality. You agree that you will not allow others to use any aspect of your Account Information. You have responsibility for taking steps to maintain the confidentiality and security of your account. You agree to notify us immediately of any unauthorized use of your password and/or account. RadioSlot will not be responsible for any losses arising out of the unauthorized use of your member name, password and/or account and you agree to indemnify and hold harmless RadioSlot, its partners, parents, subsidiaries, agents, affiliates and/or licensors, as applicable, for any improper, unauthorized or illegal uses of the same.
1.4 Security. To prevent unauthorized access, to maintain data accuracy, and to ensure the appropriate use of Account Information, RadioSlot uses appropriate physical, technical and administrative procedures to safeguard the information we collect. We use Secure Sockets Layer (SSL) encryption when collecting or transferring sensitive data such as credit card information. SSL encryption is designed to make the information unreadable by anyone but us. Credit card numbers are used only for processing payments and are not used for other purposes.
2. LICENSE TO Pandora SERVICES
2.1 License Grante. RadioSlot grants to you a limited, non-exclusive, non-transferable license to access and use the RadioSlot Services in the United States for personal non-commercial purposes only. If you subscribe to any of the RadioSlot Services, this license is contingent upon your payment of any applicable subscription fees and your compliance with any other terms and conditions applicable to you as a subscriber. Any violation by you of the license provisions contained in this Section 2.1 may result in the immediate termination of your right to use the RadioSlot Services. RadioSlot reserves all right, title and interest not expressly granted under this license to the fullest extent possible under applicable laws. ANY USE OF THE RadioSlot SERVICES NOT SPECIFICALLY PERMITTED UNDER THIS AGREEMENT IS STRICTLY PROHIBITED.
2.2 Updates. RadioSlot may from time to time make available to all users of the RadioSlot Services, updates at no cost or subject to additional fees in RadioSlot's sole discretion. "Updates" means any updates, upgrades or error corrections to the RadioSlot Services that RadioSlot makes available generally to users of the RadioSlot Services. Notwithstanding anything else contained in this Agreement, RadioSlot will have no obligation to continue producing or releasing new versions of the RadioSlot Services or any updates thereto.
3. RESTRICTIONS
You agree that you will not:
3.1 use the RadioSlot Services to reproduce copyrighted materials;
3.2 copy, store, edit, change, prepare any derivative work of or alter in any way any of the tracks streamed through the RadioSlot Services;
3.3 make the RadioSlot Services available over a network (other than RadioSlot's network) where it could be used by others;
3.4 provide your password to any other person;
3.5 translate, reverse engineer, decompile, disassemble, modify or create derivative works based on the RadioSlot Services or any portion of them;
3.6 circumvent any technology used by RadioSlot or its licensors to protect content accessible via the RadioSlot Services;
3.7 rent, lease or sublicense any of the RadioSlot Services; or
3.8 use the RadioSlot Services in any way that violates the terms of this Agreement.
4. COPYRIGHTS
As between you and RadioSlot, you acknowledge that RadioSlot owns or has a license to all title and copyrights in and to the RadioSlot Services. All title and intellectual property rights in and to the licensed content in the RadioSlot Services is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties and subject to use restrictions under such laws or treaties.
5. RadioSlot TRADEMARKS AND THIRD-PARTY TRADEMARKS
The following are registered trademarks or trademarks of RadioSlot: RadioSlot, and its design logo, as well as certain other RadioSlot trademarks, service marks, graphics, and logos (collectively, the "RadioSlot Trademarks") used in connection with the RadioSlot Services. The RadioSlot Services may contain third-party trademarks, service marks, graphics, and logos. You are not granted any right or license with respect to RadioSlot Trademarks or the trademarks of any third party.
6. SECURITY
The RadioSlot Services use technology to protect the digital information provided by RadioSlot from unauthorized use. Your use of the RadioSlot Services may be limited by such technology. You acknowledge that, from time to time, RadioSlot may modify or discontinue using such technology. Security modifications made by RadioSlot may from time to time include required updates to the RadioSlot Services. IF YOU ATTEMPT TO VIOLATE OR CIRCUMVENT ANY SYSTEM OR NETWORK SECURITY COMPONENTS OR TECHNOLOGY, YOU MAY BE SUBJECT TO CIVIL OR CRIMINAL LIABILITY.
7. PRIVACY POLICY
RadioSlot cares about your privacy. It is important that you read and understand the terms of RadioSlot's Privacy Policy. RadioSlot may cooperate with and disclose information (including your Account Information) to any authority, government official or third-party, without giving any notice to you, in connection with any investigation, proceeding or claim arising from an asserted illegal action or infringement due to your use of the RadioSlot Services.
8. AGREEMENT TO PAY
If you elect to become a subscriber to the RadioSlot Services, you agree to pay all fees and charges associated with your subscription on a timely basis. All such fees and charges (including any taxes and late fees, as applicable) will be charged on your credit card. You will maintain valid credit card information in your Account Information.
9. TERM
This Agreement will remain effective until terminated by you or terminated by us.
10. DISCLAIMERS
10.1 THE RadioSlot SERVICES (INCLUDING ANY SOFTWARE CONTAINED THEREIN) AND ANY UPGRADES OR PLUG-INS AND ANY LICENSED CONTENT ARE LICENSED TO YOU "AS IS." ANY USE OF THE RadioSlot SERVICES WILL BE AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RadioSlot DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. RadioSlot MAKES NO REPRESENTATIONS OR GUARANTEES THAT THE RadioSlot SERVICES WILL BE FREE FROM LOSS, DESTRUCTION, DAMAGE, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND RadioSlot DISCLAIMS ANY LIABILITY RELATING THERETO.
10.2 RadioSlot MAKES NO GUARANTEES, REPRESENTATIONS, OR WARRANTIES THAT USE OR RESULTS OF THE USE OF THE Pandora SERVICES WILL BE ACCURATE, RELIABLE, CURRENT, UNINTERRUPTED OR WITHOUT ERRORS. WITHOUT PRIOR NOTICE, RadioSlot MAY MODIFY, SUSPEND, OR DISCONTINUE THE RadioSlot SERVICES (INCLUDING ANY CONTENT) OR YOUR USE OF THEM. WHENEVER Pandora ELECTS TO MODIFY, SUSPEND, OR DISCONTINUE THE RadioSlot SERVICES, IT WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY.
10.3 YOU ACKNOWLEDGE THAT YOUR SUBMISSION OF ANY INFORMATION TO US IS AT YOUR OWN RISK. RadioSlot DOES NOT ASSUME ANY LIABILITY TO YOU WITH REGARD TO ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY.
10.4 YOU UNDERSTAND THAT YOU MAY ENCOUNTER OFFENSIVE, INDECENT OR OTHER OBJECTIONABLE CONTENT WHEN USING THE RadioSlot SERVICES. RadioSlot WILL HAVE NO LIABILITY TO YOU FOR ANY SUCH CONTENT.
10.5 SOME OF THE CONTENT, PRODUCTS, AND SERVICES AVAILABLE THROUGH THE RadioSlot SERVICES MAY INCLUDE MATERIALS THAT BELONG TO THIRD PARTIES. YOU ACKNOWLEDGE THAT RadioSlot ASSUMES NO RESPONSIBILITY FOR SUCH CONTENT, PRODUCTS OR SERVICES.
11. LIMITATION OF LIABILITY
11.1 IN NO EVENT WILL RadioSlot BE LIABLE TO YOU FOR INDIRECT, GENERAL, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, CORRUPTION OF FILES, LOSS OF BUSINESS INFORMATION OR ANY OTHER PECUNIARY LOSS) EVEN IF RadioSlot HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY RadioSlot OR OTHERS WILL CREATE A WARRANTY AND NEITHER YOU NOR ANY THIRD PARTY MAY RELY ON ANY SUCH INFORMATION OR ADVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSIONS AND LIMITATIONS MAY OR MAY NOT APPLY TO YOU.
11.2 RadioSlot'S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY UNDER THIS AGREEMENT WILL BE LIMITED TO THE GREATER OF ONE DOLLAR (US $1.00) OR THE TOTAL AMOUNT PAID BY YOU FOR THE APPLICABLE RadioSlot SERVICES AT ISSUE.
12. INDEMNITY
YOU WILL INDEMNIFY AND HOLD RadioSlot, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS HARMLESS WITH RESPECT TO ANY SUITS OR CLAIMS ARISING OUT OF (I) YOUR BREACH OF THIS AGREEMENT, INCLUDING, BUT NOT LIMITED TO, ANY INFRINGEMENT BY YOU OF THE COPYRIGHT OR INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY; OR (II) YOUR USE OF THE RadioSlot SERVICES.
13. GENERAL INFORMATION
13.1 You will be responsible for providing the DSL, cable modem and any other hardware and software necessary to use the RadioSlot Services.
13.2 RadioSlot or its business partners may present advertisements or promotional materials via the RadioSlot Services. Your dealings with, or participation in promotions of any third-party advertisers via the RadioSlot Services are solely between you and such third party and your participation is subject to the terms and conditions associated with that advertisement or promotion. You agree that RadioSlot is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such third parties via the RadioSlot Services.
13.3 The RadioSlot Services may present links to third-party Web sites or third-party services not owned or operated by us. We are not responsible for the availability of these third-party sites or services or their contents. You agree that we are not responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with your use of or reliance on any content of any such third-party site or services or goods or services available through any such third-party site or service.
13.4 The RadioSlot Services are owned or licensed by RadioSlot and are protected by United States copyright laws and international treaty provisions. You will not sublicense, assign, or transfer the license granted to you under this Agreement. Any attempt to sublicense, assign, or transfer any of the rights, duties, or obligations in violation of the provisions of this Agreement is void.
13.5 This Agreement will be governed by the laws of the State of California. The exclusive jurisdiction for any claim, action or dispute with RadioSlot or relating in any way to your use of the RadioSlot Services will be in the state and federal courts of the State of California and the venue for the adjudication or disposition of any such claim, action or dispute will be in the County of San Francisco, California.

13.7 RadioSlot may provide notifications, whether such notifications are required by law or are for marketing or other business related purposes, to you via email, mobile text message, written or hard copy notice, or through conspicuous posting of such notice on Site, as determined by RadioSlot in its sole discretion. RadioSlot reserves the right to determine the form and means of providing notifications to you, provided that you may opt out of certain means of notification as described in this Agreement.
13.8 RadioSlot provides an explicit content feature that, when enabled, will filter out explicit content on your RadioSlot stations. You can enable this feature from your computer in the account area of RadioSlot.com. The explicit filter setting is applied to your account on RadioSlot.com as well as all RadioSlot enabled devices including for instance mobile phones, internet connected Blu-ray players and table top radios. You can also find out more about this explicit content feature by visiting http://www.RadioSlot.com/.
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND WILL BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER ACKNOWLEDGE THAT THIS AGREEMENT REPRESENTS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US AND THAT IT SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.

This is the privacy policy ("Privacy Policy"), effective as of April 24, 2010, for RadioSlot.com ("RadioSlot", "we", "us" or "our"). This Privacy Policy sets forth our policies regarding the collection, use and disclosure of certain information relating to your use of RadioSlot streaming music service (the "RadioSlot Services"), including but not limited to delivery via our Web site [http://www.RadioSlot.com] (the "Site"), a mobile device, or otherwise.
We recognize the importance of protecting your privacy and our Privacy Policy is designed to assist you in understanding how we collect, use and safeguard the personal information you provide to us, and to assist you in making informed decisions when using the RadioSlot Services. This Privacy Policy will be continuously assessed against new technologies, business practices and our customers' needs. As we update and diversify our services, this Privacy Policy may evolve. The types of information we collect - We have several areas where you can submit information to us, and we also have features that automatically collect information from the users of the RadioSlot Services and visitors to our Site.
Information voluntarily provided by you - Registration: With the exception of our Site's demonstration mode, you must register with us to use our free ad-supported version of the RadioSlot Services or the subscription version of the RadioSlot Services. We may also offer options for you to sign up for our newsletters without having to subscribe to the RadioSlot Service. During registration to the RadioSlot Services, you must provide your email address, year of birth, gender and zip code and you must supply a password to us. It is your responsibility to keep your password strictly confidential. In addition, in order to subscribe to RadioSlot Services, you must provide your name and a valid credit card number, along with your credit card's security code and expiration date as well as the zip code to which your credit card statement is sent to you.
Communications from RadioSlot and our newsletters: In order to keep our registered users and subscribers informed about the RadioSlot Services' latest developments and features, we may send messages to your personal email address, or for subscribers to mobile Services, to your mobile telephone number, that you provided to us while registering for the RadioSlot Services. If you elected to opt in to our email list, we may also send newsletters or promotional emails to you. You are always free to change your email preferences by following the instructions provided in the "Edit Your Account Info" section of the Site. In the event we send you a promotional e-mail, each such email will include instructions detailing how you may unsubscribe from our mailing list.
Contacting Us: You are always free to contact us with a question or problem related to your use of the RadioSlot Services. Our standard business practice is to retain any communications from our registered RadioSlot Services users, subscribers and Site visitors to help us to serve each of you better.
Emailing your friends through our Site: Currently, the Site allows you to email your friends and allow them to listen to the stations you create provided they know your email address. In order for us to provide this feature, we will keep copies of your emailed messages. We may decide, but are not obligated, to monitor your email messages through computer software or human personnel to check for obscenity, defamation or other types of abusive language, as well as for content that may infringe our rights or the rights of others, all of which we may remove at any time in our sole discretion. Ordinarily, we will not otherwise access your emailed messages except in unusual cases, including but not limited to times when we receive specific complaints related to a particular emailed message or are compelled to do so by law. For administrative purposes we intend to keep an email log that includes a record of which registered users and subscribers sent email messages and to which email addresses they were sent. We will use the addressee information you enter only to send the emails you request.
Station Sharing: We also offer Site-wide community features designed to help other registered users and subscribers find music they like, by making available a registered user's or subscriber's station either in an anonymous form or to registered users or subscribers who know your email address and specifically request your station by entering your email address in the applicable field on our Site. Registered users and subscribers may also access features such as message boards that allow other registered users and subscribers to communicate with each other. Any information that you send or post via our Site's community features will be considered public information and we cannot be held responsible for any information you choose to make public. We may, but are not obligated to, monitor our Site's community features through computer software or human personnel to check for obscenity, defamation or other types of abusive language, or for content that may infringe our rights or the rights of others, all of which we may remove at any time.
Personal Pages: You may have the opportunity to post favorite songs, stations or other information on personal pages. These personal pages may be made available to other registered users and subscribers as part of the RadioSlot Services. The information you post to such personal pages, therefore, may be viewed by visitors to such pages. Your personal page will be identified to others by the local-part of the email address you provide to us (i.e., the part of your email address before the "@" sign) either alone or in combination with additional numbers or letters. Thus, to the extent that your email address includes personal information (such as your full name), this information may be displayed to other registered users and subscribers. In addition, to the extent that you post other personal information on your personal page, this information may also be viewed by other registered users and subscribers.
Third-party information provided to us by partners: We may receive information about you from third parties, such as business partners that make features available through the RadioSlot Services, business partners through whom we allow registered users to access RadioSlot Services, advertisers or marketing companies, other web sites or applications that you have registered to use, or that people you know have registered to use, when we allow those web sites or applications to interact through RadioSlot Services to provide social networking services to you (collectively, "Partners").
Links: When using our RadioSlot Services, you may click through certain links or promotions that will enable you to purchase products or use services provided by our Partners. Some of these Partners may share certain information that you provide to them with us. By clicking on and through to a link or promotion via the RadioSlot Services, you agree to allow us to receive and use any information (except for credit card information) that you may provide to our Partners, under the same terms and conditions as if you provided your information directly to us. We are not, however, responsible for any other Web sites or services, or their respective privacy policies or how they treat information about their members. We strongly advise you to check their privacy policies to find out how they are treating your personal information.
Third Party Usage: You may also separately share your information with other Web sites or entities, such as those that create professional marketing lists, to receive special offers and promotions from their affiliates. These Web sites or entities may agree to share your information with us. Whether or not any third party actually shares your information with us and to what extent they do share your information with us will depend on their agreement with us and their respective privacy policies.
Marketing Data: We may purchase marketing data from third parties and add it to our existing user database to better target our advertising and to provide pertinent offers in which we think you would be interested. We may also associate this marketing data to the personally identifiable information they have provided to us.
RadioSlot is not responsible for, and will assume no liability, if a Partner or other Web site or entity collects, uses or shares, any information about you in violation of its own privacy policy, or applicable law.
Automatic Data Collection
Copyright Tracking: In an effort to optimize RadioSlot Services and user experience, we may, from time to time, provide updates, fixes or support, as we deem appropriate. RadioSlot incorporates software that is designed to protect the copyrights associated with the tracks you listen to. In order to make sure that artists and copyright owners receive applicable royalties, this software identifies and counts the songs you have accessed. At the aggregate level (i.e., not tied to the personal information of any user), we use this data to report and pay royalties, for internal analysis and we share this data with certain Partners for their own analysis. We do not share your personal usage data with any third parties. We may use your personal usage data for a variety of RadioSlot Services-related purposes including, without limitation, for displaying advertising to users of the free ad-supported version of the RadioSlot Services.
Partner Access: When you access the RadioSlot Services through a Partner, we may add select aspects of your registration information (such as your email address and, if applicable, the Partner or promotion through which you registered) to the registry settings on your computer's hard drive, so that we can recognize which of our Partners or other sign-in pages to send to you when you log on to the RadioSlot Services.
